1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern your access to and use of Miouri Automotive Group Inc.’s (“Miouri,” “we,” “our,” or “us”) websites, products, services, communications, and facilities. By accessing or using any Miouri service, you agree to be bound by these Terms and all applicable laws.
If you do not agree, you must discontinue use of Miouri services.
2. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use Miouri services. By using our services, you represent and warrant that you meet these requirements.
3. Use of Miouri Services
3.1 Permitted Use
You may use Miouri services solely for lawful purposes and in accordance with these Terms. You agree not to:
• Access or use Miouri systems in a manner that could damage, disable, or impair operations
• Attempt to gain unauthorized access to any Miouri system, account, or data
• Interfere with the security or integrity of Miouri services
• Use automated tools (scrapers, bots, crawlers) without written permission
• Misrepresent your identity or affiliation with Miouri
3.2 Account Responsibility
If you create an account with Miouri, you are responsible for:
• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Promptly notifying Miouri of unauthorized access or security concerns
Miouri is not liable for losses arising from unauthorized account use.
4. Vehicle Builds, Orders, and Services
4.1 General Information
Information about Miouri vehicles, builds, services, pricing, and availability is subject to change without notice. Miouri may modify or discontinue products or services at any time.
4.2 Quotes and Estimates
Any quote, estimate, or build sheet provided by Miouri is for informational purposes only and does not constitute a binding agreement until a formal purchase contract is executed.
4.3 Build Specifications
All Miouri builds, including Legacy Series, Sovereign Series, and Hot Rod Hauler
Series are subject to:
• Engineering review
• Parts availability
• Regulatory compliance
• Production scheduling
Miouri reserves the right to adjust specifications as necessary to ensure safety, compliance, or quality.
4.4 Deposits and Payments
Deposits, payment schedules, and refund policies are governed by the applicable purchase agreement. Deposits may be non‑refundable unless otherwise stated in writing.
4.5 Delivery and Timelines
Any delivery timelines provided by Miouri are estimates. Production schedules may change due to supply chain conditions, regulatory requirements, or engineering adjustments.
Miouri is not liable for delays outside its control.
5. Intellectual Property
5.1 Ownership
All content, designs, trademarks, logos, images, text, software, and materials provided by Miouri are the exclusive property of Miouri Automotive Group Inc. or its licensors.
This includes, without limitation:
• The Miouri corporate logo
• Vehicle designs, renderings, and engineering assets
• Build documentation, specifications, and technical materials
• Website content and digital media
5.2 Restrictions
You may not:
• Copy, reproduce, modify, or distribute Miouri content without written permission
• Use Miouri trademarks or branding without authorization
• Reverse engineer or attempt to derive source code from Miouri software or systems
6. Third‑Party Services
Miouri may use third‑party vendors, platforms, or tools to provide certain services. Miouri is not responsible for the content, policies, or practices of third‑party services.
Your use of third‑party services is governed by their respective terms.
7. Privacy
Your use of Miouri services is also governed by our Privacy Policy and Data Processing Addendum, which describe how we collect, use, and protect personal information.
By using Miouri services, you consent to the practices described in those documents.
8. Disclaimers
8.1 General Disclaimer
Miouri services are provided on an “as‑is” and “as‑available” basis. To the fullest extent permitted by law, Miouri disclaims all warranties, express or implied, including:
• Merchantability
• Fitness for a particular purpose
• Non‑infringement
• Accuracy or completeness of information
8.2 Vehicle and Build Disclaimer
Vehicle performance, specifications, and features may vary based on:
• Build configuration
• Component availability
• Regulatory requirements
• Environmental conditions
Miouri does not guarantee specific performance outcomes unless expressly stated in a signed agreement.
9. Limitation of Liability
To the fullest extent permitted by law, Miouri is not liable for:
• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or goodwill
• Damages arising from delays, interruptions, or system failures
• Damages resulting from unauthorized access to your account or data
Miouri’s total liability for any claim shall not exceed the amount paid by you to Miouri for the specific service giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Miouri and its officers, employees, contractors, and affiliates from any claims, damages, liabilities, or expenses arising from:
• Your use of Miouri services
• Your violation of these Terms
• Your infringement of any third‑party rights
11. Termination
Miouri may suspend or terminate your access to services at any time, with or without cause, including if you violate these Terms.
Upon termination:
• Your right to use Miouri services ceases immediately
• Miouri may retain or delete your account information in accordance with its Privacy Policy
12. Governing Law
These Terms are governed by the laws of the State of Utah, without regard to conflict‑of‑law principles.
Any disputes shall be resolved exclusively in state or federal courts located in Utah.
13. Changes to These Terms
Miouri may update these Terms at any time. The Effective Date indicates when changes take effect. Continued use of Miouri services after updates constitutes acceptance of the revised Terms.
